Terms of Use

  1. RAZOR AND END USERS

    1. Objectway Financial Solutions Inc. (“Razor”) is pleased to provide End Users with the information, content, tools, products and services available on RAZORPLAN.COM (collectively, the “Razor Services”). The term “Razor Services” refers to all Razor Services, made available at present and in future by Objectway Financial Solutions Inc. or its permitted licensees.

    2. The term “End Users” means all persons who access Razor Services. End Users includes Financial Advisors and Client Users.

    3. The term “Financial Advisor”, and collectively “Financial Advisors”, means a natural (not corporate) person who provides financial and/or investment advice to a Client User pursuant to a current contractual agreement.

    4. The term “Client User”, and collectively “Client Users”, means a natural (not corporate) person who is not a Financial Advisor. A Client User may be in a professional relationship with a Financial Advisor or be independent of same. Notwithstanding the status of a Client User, these Terms of Use shall apply to each and every Client User.

    5. The term “Affinity Partner” means a natural or corporate person who is a party to a current Affinity Agreement with Razor.Core. Razor reserves the unfettered right to enter into Affinity Agreements in its sole discretion. For more information on Affinity Agreements, End Users shall contact Razor directly.

  2. BINDING AGREEMENT

    1. All use of Razor Services is subject to these Terms of Use, which constitute a binding agreement between Razor and End Users. By accessing Razor Services, End Users accept and agree to be bound by these Terms of Use.

    2. Razor is permitted to modify these Terms of Use at any time and without prior notice to End Users. End Users accept all modifications by accessing Razor Services.

    3. These Terms of Use are in addition to any other contractual agreement(s) between Financial Advisors and their clients. To the extent of any inconsistency between these Terms of Use and any other contractual agreements between Financial Advisors and their clients (including with respect to use of third party services such as Razor Services), these Terms of Use shall apply/

  3. USE OF RAZOR SERVICES

    1. Subject to these Terms of Use and, where applicable, payment of Subscription Fees in accordance with a duly made Subscription Agreement, Razor grants to End Users the right to access Razor Services solely for the limited purpose of financial and investment advice to and for Client Users (the “Limited Purpose”). No End User may access Razor Services other than for the Limited Purpose.

    2. Access by a Financial Advisor to Razor Services shall always be subject to a duly made Subscription Agreement between Razor and such Financial Advisor. The terms and conditions governing Razor’s Subscription Agreement are stated below.

    3. Razor Services are made available to End Users resident in Canada and the United States of America only. Razor Services shall not be considered a solicitation to buy or an offer to sell any product or service, to any person in any jurisdiction, where such offer, solicitation, purchase or sale would be unlawful under the laws of such jurisdiction.

    4. Razor Services are generally intended to be viewed by a conventional web browser with a screen resolution of 800 by 600 pixels or greater. Although End Users may use other means to access Razor Services, please be aware that Razor Services may not appear accurately through other access methods. Razor shall use best efforts to provide an End User experience that reflects the high quality of Razor Services.

    5. Razor may terminate End User access to Razor Services at any time in accordance with these Terms of Use and, where applicable, the Subscription Agreement.

  4. END USER RESPONSIBILITIES AND OBLIGATIONS

    1. End Users are solely responsible for obtaining and maintaining at their own expense, all equipment and connections needed to access Razor Services including, but not limited, to Internet access. Razor represents that, when making available Razor Services to End Users, it shall use industry standard measures and protocols to promote the security of all End User Data while such End User Data resides in End User’s Razor Account.

    2. Should an End User choose to terminate its access to Razor Services by closing its End User Razor Account or by otherwise unsubscribing to Razor Services, all End User Data will be removed by Razor within TWENTY-ONE (21) calendar days following End User’s termination or unsubscription. End User Data so removed shall not be recoverable. Upon termination, but within 21 calendar days following End User’s termination or unsubscription, End User can choose to re-activate its End User Razor Account in accordance with these Terms of Use.

    3. End Users are responsible for maintaining the confidentiality of all passwords and for ensuring that each password is used only by the authorized End User. End Users are entirely responsible for any and all activities that occur under the authorized End User’s Razor Account. End Users agree to immediately notify Razor of any unauthorized use of End User’s Razor Account or any other breach of security known to End User. Razor shall have no liability for any loss or damage arising from End User’s failure to comply with these requirements. Razor shall maintain End User passwords as confidential and will not disclose them to third parties.

      Razor shall not be under any duty to inquire as to the authority or propriety of any End User Data or instructions given to Razor through End User’s Razor Account and shall be entitled to act upon any such End User Data or instructions. End Users shall accept full responsibility for monitoring End Users’ Razor Accounts including frequently checking account information, reviewing your transaction history online and promptly reviewing any correspondence, account statements and confirmations received from Razor.Core. End Users shall notify Razor immediately of any unauthorized activity, disclosure, loss, theft or unauthorized use of passwords. End Users agree to cooperate with Razor in any investigation and agree to take corrective measures to End User Razor accounts from fraudulent activity.

    4. End Users shall be responsible for the accuracy, quality, integrity and legality of End User Data.

      Razor Services, including all analytical and planning tools made available therein, may provide general financial and investment education based on End User Data End Users are solely responsible for determining whether any financial plan, investment, investment strategy, security or related transaction is appropriate for the End User based on financial circumstances, objectives and risk tolerance as applicable. Client Users may consult Financial Advisors, legal and/or tax professionals for advice regarding Client Users’ specific financial circumstances, objectives and risk tolerance.

    5. End Users acknowledge and agree that Razor does not monitor or police the content of End User Data entered into or transmitted by Razor Services, and that Razor shall not be responsible for the content of any End User Data so entered or transmitted. End Users shall use Razor Services exclusively for the Limited Purpose consistent with all applicable laws and regulations.

    6. End Users agree not to post or upload any End User Data which

      1. is libelous, defamatory, obscene, pornographic, abusive, harassing or threatening;

      2. contains malicious code;

      3. violates the rights of others, such as data which infringes on any intellectual property rights or violates any right of privacy or publicity; or

      4. otherwise violates any applicable laws and regulations.

    7. End Users further agree not to interfere or disrupt networks connected to the Razor Services, not to interfere with another person’s use and enjoyment of Razor Services and to comply with all regulations, policies and procedures of networks connected to Razor Services. Razor may remove any violating content entered into or transmitted by Razor Services without notice to End Users. Razor may suspend or terminate any End User’s Razor Account and access to Razor Services in general upon notice in the event that Razor reasonably determines that such End User has violated these Terms of Use. However, Razor shall provide End Users with advanced written notice and reasonable opportunity to cure prior to suspending or terminating such End User Razor Account and access to Razor Services in general.

    8. Because all information technology hardware, including servers, have limited capacity, End Users shall not use Razor Sites in any manner that could damage or overburden any Razor server, or any network connected to any Razor server.

  5. RESERVATION OF RIGHTS

    1. Razor reserves the right at all times to disclose any information as Razor deems necessary to satisfy any applicable law, regulation, legal process or governmental request. Razor also reserves the right to terminate your access to any or all of the Services at any time, without notice, for any reason whatsoever.

  6. SERVICE AVAILABILITY AND SUPPORT

    1. Razor shall make reasonable efforts to provide consistent availability of Razor Services. (“Service Availability”). Service Availability is defined as the time that Razor Services are capable of receiving, processing, and responding to End User Data input requests, excluding (a) Scheduled Maintenance; (b) End User Error Incidents; (c) Emergency Maintenance; (d) Force Majeure; and (e) Internet service provider failures or delays.

    2. End Users acknowledge that Razor does not control the transfer of End User Data over telecommunications facilities, including the Internet. Razor does not warrant secure operation of Razor Services or that Razor will be able to prevent third party disruptions of Razor Services. End Users acknowledge that Razor Services may be subject to limitations, delays, and other problems inherent in the use of the Internet and electronic communications. Razor is not responsible for any delays, delivery failures, or other damage resulting from such problems.

    3. Razor shall provide updates to Razor Services when and if available, and Razor is under no obligation to develop any future programs or functionality with respect to Razor Services. Razor is under no obligation to provide support with respect to any websites, software, systems, programs or functionality not supplied by Razor as part of Razor Services.

      1. Razor offers to End Users toll-free phone and email support for Razor Services according to End User’s Razor Account, as applicable. Information on the applicable level of support shall be made available to End User when accessing End User’s Razor Account. Razor Support is provided during regular business hours only; 9am to 5pm Mountain Time, excluding weekends and statutory holidays.

      2. Razor reserves the right to deny or limit Razor Support at any time and for any reason.

      3. Razor Support includes the following services: Technical Support, General Support, Case Support, and Training.

        1. Technical Support: Technical Support includes, but is not limited to, versioning issues, login issues, User Name and Password resets, error codes and messages, and Subscription status and duration.

        2. General Support: General Support includes, but is not limited to, mathematical output and interpretation of Razor Services when not pertaining to an individual End User or individual End User Data.

        3. Case Support: Case Support includes, but is not limited to, mathematical output and interpretation of Razor Services when pertaining to an individual End User or individual End User Data. This type of support will typically include a discussion of a specific client file or situation where the support provided will involve the interpretation of results and possible recommendations. Case Support is not included with the purchase of a subscription but can be provided for an additional fee on request.

        4. Training: Training for use of Razor Services is provided to End Users through pre-recorded tutorials and live webinars available from time to time at www.razorplan.com. One-on-one Training is not included with the purchase of a subscription but can be provided for an additional fee on request.

  7. SUBSCRIPTION AGREEMENT

    1. End Users shall subscribe for access to Razor Services pursuant to a Subscription Agreement and in accordance with these Terms of Use.

    2. Subscriptions cannot be transferred or sold at any time. Providing access to Razor Services to 3rd party, either directly or indirectly, without the express written consent of Razor, will be considered a breach of these Terms of Use. In the case of a Financial Advisor, the Assistant to a Financial Advisor is not considered a third party, but rather an extension of the Financial Advisor. An “Assistant” is defined by this Terms of Use document as an employee who acts in a support role for the subscribing Financial Advisor. An Assistant can be licensed or non-licensed but cannot maintain a client base.

    3. A duly made and current Subscription Agreement shall permit an End User to access to Razor Services for the Subscription Term.

    4. Although an End User may terminate a Subscription Agreement in accordance with the termination provisions therein, an End User Razor Account will remain active until the termination or expiration of the Subscription Term.

  8. FREE TRIAL PERIOD

    1. All End Users who are new to Razor Services are eligible to receive limited access to Razor Services for 30 days prior to purchase of same under a Subscription Agreement (“Free Trial Period”). During the Free Trial Period, End Users are eligible to receive unlimited email and toll-free technical support. In addition, training on Razor Services is offered through pre-scheduled online webinars and recorded tutorials. Razor reserves the right to deny access to this Free Trial Period to any End User for any reason. Each new End User is entitled to receive one Free Trial Period. Any duplicate trial will be removed by Razor without notice. End User Data associated with any removed Razor Account will not be recoverable.

    2. Once an End User Razor Account is inactive for a period of TWENTY-TWO (22) calendar days or more, it will be permanently closed. Upon closure of an End User Razor Account, Razor shall permanently delete all End User Data.

  9. RAZOR WARRANTIES, DISCLAIMERS AND LIMITATION OF LIABILITY

    1. Razor does not make any express or implied warranties about the Razor Services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Razor Services are made available “as is” and “as available”. Razor does not warrant that any defects or inaccuracies within Razor Services will be corrected.

    2. Razor does not warrant that Razor Services will meet End User needs, or that they will be uninterrupted, timely, secure or error-free. Razor also makes no warranty that the results obtained from the use of Razor Services will be accurate or reliable, or that the quality of any products, services, information, or other material purchased or obtained by you through Razor Services will meet your expectations.

    3. Razor will not be liable to you or anyone else for any consequential, incidental, special, direct, or indirect damages (including but not limited to lost profits, trading losses or damages that result from use or loss of use of Razor Services and third party content, inconvenience or delay). This is true even if Razor has been advised of the possibility of such damages or losses.

    4. Razor will not be liable to you or anyone else for any loss resulting from a cause over which such Razor does not have direct control. This includes failure of electronic or mechanical equipment or communications lines (including telephone, cable and Internet), unauthorized access, viruses, theft, operator errors, severe or extraordinary weather (including flood, earthquake, or other act of God), fire, war, insurrection, terrorist act, riot, labor dispute and other labor problems, accident, emergency or action of government.

    5. As a condition of your use of the Razor Services, you agree to indemnify and hold Razor and its Third Party Content providers harmless from and against any and all claims, losses, liability, costs and expenses (including but not limited to attorneys’ fees) arising from your use of the Razor Services, or from your violation of these Terms of Use.

  10. RAZOR INTELLECTUAL PROPERTY AND LINKING POLICY

    1. Razor Services and all content included therein is proprietary intellectual property owned by Razor.Core. Razor Services and all content included therein are protected by applicable statutory and common law regimes governing ownership and permitted use of intellectual property. Accordingly, you may not copy, distribute, modify, post or frame-in Razor Services including any text, graphics, video, audio, software code, user interface design or logos.

    2. All trademarks and service marks featured in association with Razor Services belong to Razor except third-party trademarks and service marks, which are the property of their respective owners.

    3. Except as expressly provided by these Terms of Use, no portion of Razor Services or any content included therein may be copied, imitated, published, transmitted, broadcast or distributed, in whole or in part. In no event shall Razor be liable for any special, indirect or consequential damages or any damages whatsoever resulting from loss of use, data or profits, whether in an action of contract, negligence or other tortuous action, arising out of or in connection with the use or performance of Razor Services.

    4. Linking Policy

      Some links on Razor Services will let you leave Razor Services. Razor provides these links to only as a convenience, and the inclusion of any link does not imply endorsement by Razor.Core.

      You acknowledge and agree that Razor does not control, review, revise, endorse, or accept responsibility for any materials, projects or services offered by third parties, including third–party vendors and third parties accessible through linked sites. You acknowledge and agree that Objectway Financial Solutions Inc. makes no representations or warranties whatsoever about any such third parties, their materials or services. You acknowledge and agree that any dealings you may have with such third parties are at your own risk and Razor shall not be liable or responsible for any materials or services offered by third parties. The Third Party Content is protected by copyright pursuant to domestic laws and international treaties and is owned or licensed by the Third Party Content provider(s) credited.

      Razor has not been involved in the preparation, adoption or editing of Third Party Content and does not explicitly or implicitly endorse or approve such content. The Third Party Content providers do not implicitly or explicitly endorse or approve the Third Party Content, nor do they give investment advice, or advocate the purchase or sale of any security or investment.

      While Razor makes every attempt to provide accurate and timely information to serve the needs of users, neither Razor nor the Third Party Content providers guarantee its accuracy, timeliness, completeness or usefulness, and are not responsible or liable for any such content, including any advertising, products, or other materials on or available from third party sites. Third Party Content is provided for informational purposes only and Razor and the Third Party Content providers specifically disclaim any responsibility for Third Party Content available on the site. You will use Third Party Content only at your own risk. THE THIRD PARTY CONTENT IS PROVIDED ON AN “AS-IS” BASIS. THE THIRD PARTY CONTENT PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

  11. GOVERNING LAW AND SEVERABILITY

    1. Unless otherwise agreed, these Terms and their enforcement are governed by the laws of the Province of Ontario, Canada, without regard to conflicts of law, and shall inure to the benefit of Razor’s successors and assigns, whether by merger, consolidation, or otherwise.

    2. If a court of competent jurisdiction deems any provision of these Terms of Use unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

  12. DEFINITIONS

    Scheduled Maintenance” is defined as any maintenance performed during Razor’s then-current standard maintenance windows and any other maintenance of which End Users may be given at least forty-eight (48) hours advance notice.

    End User Error Incident” is defined as any unavailability of Razor Websites and Razor Services related to End Users’ applications, End User Data, or End User equipment or connections, or the acts or omissions of any End User

    Emergency Maintenance” means downtime of the Razor Websites and Razor Services due to the application of urgent patches or fixes, or other urgent maintenance that is performed outside of Scheduled Maintenance
